How to Form a Nevada LLC — Step by Step
Follow these steps to form your Nevada LLC yourself. Each step includes links to the official state resources you'll need.
1Search for Name Availability
Go to esos.nv.gov/EntitySearch and use the "Entity Search" tool. Enter your desired LLC name and check results. Nevada requires your name to be distinguishable from all existing entities on file.
Your LLC name must include "Limited Liability Company," "LLC," "L.L.C.," or an acceptable variant. You can reserve a name for 90 days by filing a Name Reservation ($25) through SilverFlume.
Nevada's entity search covers all entity types — corporations, LLCs, LPs, etc. Make sure your name is distinguishable from all of them, not just other LLCs.
2Choose a Registered Agent
Nevada requires a registered agent with a physical street address in Nevada (no P.O. boxes). The registered agent must be a Nevada resident or a business entity authorized to transact business in Nevada.
Professional registered agent services cost $50–$200/year and are essential if you don't live in Nevada. EntityEngine includes Nevada registered agent service with formation.
Nevada is known for strong officer/director privacy protections. Using a registered agent service keeps your personal address off public records.
3File Articles of Organization + Initial List + Business License
Go to nvsilverflume.gov, create an account, and select "New Filing" → "Domestic Limited Liability Company." SilverFlume bundles three mandatory filings into one process:
1. Articles of Organization ($75) — Your LLC name, registered agent, organizer details, and management structure.
2. Initial List of Managers/Members ($150) — Names and addresses of managers or members. This must be filed at the time of formation.
3. State Business License ($200) — Required for all Nevada businesses. Bundled into the formation process.
Total upfront cost: $425. Online payments accept credit cards (a ~2.5% convenience fee may apply). You can also file by mail with the paper forms from nvsos.gov.
Nevada bundles three filings into formation — this is why the upfront cost ($425) is higher than most states. But the trade-off is no state income tax and strong privacy protections.
4Create an Operating Agreement
Nevada does not legally require an operating agreement, but every LLC should have one. It defines ownership, management, profit distribution, and dissolution procedures.
Nevada's LLC law (NRS Chapter 86) provides strong asset protection and flexibility. Your operating agreement can reinforce these protections and customize the default statutory rules.
5Get an EIN from the IRS
Apply for a free EIN at irs.gov. Select "Limited Liability Company" and "Nevada" as the state of formation. The online application takes about 5 minutes and issues your EIN immediately.
6Open a Business Bank Account
Bring your Articles of Organization (SilverFlume confirmation), State Business License, EIN confirmation letter, operating agreement, and photo ID. Both Las Vegas and Reno have extensive banking options.
7Register for Nevada Taxes
Nevada has no personal income tax and no corporate income tax. If your LLC sells taxable goods in Nevada, register for a Sales Tax Permit at tax.nv.gov. Nevada's state sales tax is 6.85%, with combined rates typically reaching 8.375% in Clark County (Las Vegas).
The Nevada Commerce Tax applies only to businesses with Nevada gross revenue exceeding $4 million during the fiscal year (July 1 – June 30). Below that threshold, you do not need to file.
The Modified Business Tax (MBT) applies to employers with quarterly wages above $50,000 — a payroll tax of 1.378% on amounts above the threshold.
Despite having no income tax, Nevada has multiple smaller taxes (commerce tax, MBT, business license) that can add up. Know what applies to your business.
8File Annual List + Renew Business License
Nevada requires an Annual List of Managers/Members ($150) and a Business License renewal ($200) each year — $350 total, due by the last day of the anniversary month of your LLC's formation.
File online through SilverFlume (nvsilverflume.gov). Late filing results in a $75 penalty for the Annual List and a $100 penalty for the Business License ($175 total in late fees).
Continued non-filing can result in administrative revocation of your LLC.
At $350/year in mandatory annual costs (before any taxes), Nevada is one of the more expensive states for ongoing LLC maintenance. Factor this into your state comparison.
