How to Form a Wyoming LLC — Step by Step

Follow these steps to form your Wyoming LLC yourself. Each step includes links to the official state resources you'll need.

1Search for Name Availability

Go to wyobiz.wyo.gov and click "Business Search" (or "Filing Search"). Enter your desired LLC name and check results. Wyoming requires your name to be distinguishable from existing entities on file.

You can reserve a name for 120 days by filing a Name Reservation ($25) through WyoBiz, but this is optional. Most people proceed directly to filing.

Wyoming is one of the best states for LLC privacy — organizer names appear on the public record, but member names do not (unless you choose to list them).

2Choose a Registered Agent

Wyoming requires a registered agent with a physical street address in Wyoming. If you don't live in Wyoming, you'll need a professional registered agent service ($50–$150/year).

3File Articles of Organization

Go to wyobiz.wyo.gov, create an account, and select "File a New Business" → "Limited Liability Company." The form asks for: LLC name, registered agent name and address, organizer name and address, mailing address, and whether the LLC is member-managed or manager-managed.

The filing fee is $100. Online payments accept Visa or MasterCard (a small credit card processing fee applies). Processing takes 1–3 business days for online filings.

You can also file by mail or in person. Download the Articles of Organization form from sos.wyo.gov. Mail filings can take up to 15 business days. Checks should be payable to "Wyoming Secretary of State."

Wyoming does not offer expedited filing — all filings are processed in the order received. However, online filings are generally processed very quickly.

Wyoming's Articles of Organization do not require listing member names. Only the organizer's name appears on the public record — a major privacy advantage.

4Create an Operating Agreement

Wyoming does not legally require an operating agreement, but every LLC should have one. It defines ownership, management structure, profit distribution, and dissolution procedures.

Wyoming's LLC Act provides some of the strongest asset protection in the country — including charging order protection for single-member LLCs (Wyoming was the first state to extend this protection). Your operating agreement should reinforce these protections.

Wyoming's charging order protection means a creditor of a member generally cannot seize LLC assets or force distributions — they can only wait for distributions to occur. Your operating agreement can strengthen this further.

5Get an EIN from the IRS

Apply for a free EIN at irs.gov. Select "Limited Liability Company" as the entity type and "Wyoming" as the state of formation. The online application takes about 5 minutes and issues your EIN immediately.

6Open a Business Bank Account

Use your Articles of Organization (filed copy from WyoBiz), EIN confirmation letter, operating agreement, and photo ID. Since many Wyoming LLC owners are out-of-state, online banks are popular choices.

7Register for State Taxes (If Applicable)

Wyoming has no state income tax and no corporate income tax. If your LLC sells taxable goods within Wyoming, register for a Sales and Use Tax License at the Wyoming Department of Revenue (revenue.wyo.gov). Wyoming's state sales tax is 4% with local add-ons of 1–2%.

If you have employees in Wyoming, register for unemployment insurance with the Wyoming Department of Workforce Services.

8File Annual Reports

Wyoming annual reports are due on the first day of the anniversary month of your LLC's formation. The fee is $60 minimum (or $60 per $250,000 of Wyoming assets, whichever is greater). Most small LLCs pay just $60.

File online at wyobiz.wyo.gov. If you don't file within 60 days of the due date, the Secretary of State will administratively dissolve your LLC.
