Equity compensation at institutional scale
Shareworks is Morgan Stanley at Work’s equity compensation platform, described on its own page as “an integrated equity compensation management platform designed for the unique needs of both private and public companies.” The depth is real and the scale is unusual: Morgan Stanley reported roughly 40% of S&P 500 companies represented, 3,400+ combined public and private stock plan clients globally, and 6.6 million+ stock plan participants served as of 2024, counting its E*TRADE Corporate Services business. Very few software vendors in this category sit inside a firm that also runs 409A valuations and company-led liquidity programs.
- Cap table management with drag-and-drop reporting, a master cap table workbook report, and high-performance modeling for new financing rounds, management carve-outs, and exits
- A sandbox test site for modeling new grants, budgeting expense, and comparing forecasting scenarios before anything is committed
- Key reporting events for both private and public organizations, including 409A valuations and Section 16 filings, plus real-time data sharing via API from HRIS systems
- An in-house 409A valuation practice with safe-harbor and audit-ready framing — Morgan Stanley cites 260+ client IPOs in five years and $14B+ in liquidity transaction volume
- Liquidity events and secondaries run end to end, from sale to settlement: controlled secondary approvals, dividend payouts, distributions, terminated-employee repurchases, and M&A events
- Certificated, uncertificated, and electronic stock certificates, and tax rules tracked across jurisdictions as a company expands globally
